Corporate Governance/Securities Paralegal! Our client, a global and public media/entertainment company is looking for a 5 plus years corporate governance paralegal to support the corporate legal department. As specifically directed by attorneys, the corporate governance paralegal conveys routine information to clients and management regarding legal and/or contractual issues associated with existing or proposed operational situations. The corporate paralegal assists legal counsel with the preparation of SEC Section 16 filings and review of other '34 Act filings as requested. The corporate paralegal will be primarily responsible for maintaining an online database that tracks Company (i) Intellectual Property, (ii) Real Property and (iii) litigation, conducts routine and specific legal and factual information research and data compilation, as directed by attorneys, acts as primary administrative contact for assembly and distribution of materials of Board of Directors and Committee meetings; tracks Board and Committee meeting compensation, assists the Chief Compliance Officer in maintaining records related to the Company's complaint procedures and compliance hotlines, assists legal counsel, as requested, with litigation matters affecting the Company, including keeping relevant records related to ongoing litigation, assists with routine formalities related to the Company's legal entities, including the maintenance of corporate minute books and related corporate records, may provide routine paralegal assistance to outside counsel and/or other administrative agencies involved in Company litigation, administrative, and/or compliance matters, maintains professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in corporate law and in other related areas, and performs other related duties and/or special projects as required. A Bachelor's degree or Paralegal certification is required. 5+ years corporate paralegal experience is required; prior experience with a corporate legal department of a publicly traded corporation is highly preferred. Records retention and corporate entity management experience is required. Knowledge of the principles and procedures of legal research, especially on-line research (preferably Westlaw), as well as familiarity with international due diligence procedures. This position requires strong verbal and written communications skills, excellent interpersonal and organizational skills, and proven attention to detail. Ability to work in a team oriented and fast-paced environment adapting to changes quickly. Proficiency with Microsoft Office tools including Excel, Word, PowerPoint and Outlook is required.
